Contractual Exception
A legal provision in a manufacturing agreement permits a temporary or conditional deviation from specified workmanship or inspection standards for a specific production run. Within the framework of a limited waiver clause, the buyer agrees to accept boards that do not meet every standard requirement, provided the deviation is restricted to non-critical parameters. This contractual mechanism prevents production shutdowns while ensuring that the deviation does not become a permanent amendment to the specifications.
Operational Boundary
Application of the deviation is strictly confined to defined quantities, dates, or batch numbers. For example, if a fabricator cannot obtain a specific solder mask color, the buyer may authorize a different color for the current month only. This boundary ensures that the supplier must revert to the original requirements once the temporary shortage or technical issue is resolved.
Quality Protection
Protective measures within this provision require the supplier to bear the risk if the waived deviation leads to subsequent assembly failures or field returns. The buyer maintains the right to inspect and reject the boards if they exhibit any defects beyond the specific parameters described in the waiver. To activate this clause, both parties must sign a formal document detailing the technical justification, the exact number of boards affected, and the compensatory measures, such as a price discount or an extended warranty period, offered by the supplier.
This structured approach prevents quality degradation while giving both parties the flexibility needed to manage temporary material disruptions or manufacturing challenges.
